Vendogram AI Labs: Master Terms & Policies
​​These Terms govern all Founders/Labs memberships, bookings, add-ons, and the Equity Track. By subscribing, booking, or entering the premises, you agree to these Terms.
​
1) Membership, Billing, Cancellation
-
Term is month-to-month unless stated otherwise.
-
Cancellation: 30 days’ notice for any plan/add-on. No prorations or refunds.
-
Payment authority: You authorize recurring monthly charges and automatic billing of approved overages, damages, deposits, and late fees to your card on file.
-
​Compute usage may be billed monthly in arrears based on metered time.
-
Membership add-ons require a 12-month commitment.
-
Taxes: Prices are before applicable taxes.

2) Booking Rules (apply to workspace & mentorship)
-
Advance window: Book up to 1 week ahead; latest booking is 24 hours before the start.
-
Cancellations: Cancel or reschedule ≥24 hours before start or it counts as used.
-
Late arrival / no-show: If you arrive 10+ minutes late, your slot may be released and still counts as used.
-
Fair use: Unused hours do not roll over. Per-day caps and active-booking limits apply by plan.
-
Compute note: GPU bookings also follow Section 24 (Compute Resources) for check-in, metering, and overages.

3) Workspace Use & Guests
-
Training/program work only; keep areas clean and reset equipment.
-
Shared plans: Guests are not permitted. Vendogram may approve exceptional guest access for an hourly fee, evaluated case-by-case..
-
Private plans: up to 2 guests a day during booked office time (total of three persons in the private office).
-
Guests must stay with you; you’re responsible for their conduct.
-
Extra hours (subject to availability and approval): $15/hr shared desk; $25/hr private office.
-
Additional guest time is billed at $15/guest/hour, up to 4 extra hours per week.

4) Member Verification & Account Security
-
Identity verification: We may require government ID and basic company info to activate memberships and certain add-ons (e.g., Business Address, Executive Package, Phone/Receptionist).
-
Legal name & suite code: You must provide the exact legal entity name to be used with your assigned Suite 200–XXX code. Use the suite code on all inbound mail.
-
Accuracy of information: You agree to keep contact, billing, and company details current and accurate. Providing false or misleading information is grounds for suspension or termination.
-
Account access: Do not share your member login. Use strong passwords and, where available, two-factor authentication. You are responsible for activity under your account.
-
Security incidents: If you suspect unauthorized access or identity misuse, notify us immediately. We may temporarily disable access while investigating.
-
Eligibility: Certain services (e.g., Equity Track, Business Address) may require good standing, plan eligibility, and our written approval. We may decline or withdraw eligibility at our discretion if policy, safety, or legal concerns arise.

5) Executive Package (Premium Equipment & Amenities)

Requires an active Shared or Private membership plan.
-
Includes workstation equipment (monitor, computer, keyboard, mouse, headset), access to large presentation screens, direct phone number (no receptionist) and a monthly printing quota.
-
Printing quotas: 50 B&W pages/month and 10 color pages/month. Overage is billed at $0.10/page B&W and $0.50/page color. Unused pages do not roll over.
-
Business email: Vendogram may provision Microsoft 365 Business Basic for one mailbox. If the member supplies their own Microsoft tenant/domain, setup occurs there; otherwise Vendogram may provision under its tenant. Member remains responsible for message content, retention, and compliance.

Temporary office door signage (subject to the office door signage policy in this document)

Equipment is provided for use on-site only and must not be removed from the premises. Members are responsible for damage beyond normal wear.

Direct phone line (Teams): Vendogram may provision Teams Phone with a domestic calling plan (US/Canada) for typical business use. Not an emergency service. Calling is subject to Microsoft/operator fair-use and acceptable use policies; high-volume outbound, dialers, or call-center traffic are prohibited. Number portability at termination follows provider rules and requires all balances paid.

Identity & domain: Member should use their own domain. If Vendogram provisions under its tenant/domain, display name and caller ID will reflect the member’s brand; no ownership in Vendogram’s domain is granted.

Support scope: Vendogram provides best-effort setup of mailbox, Teams user and number, and basic client instructions. Advanced configuration, migrations, or third-party integrations are out of scope and billable at posted rates.

Service requires a 12-month commitment. Early cancellation forfeits all package rights and may result in an early termination fee equal to the remaining months.

Disclaimers: No SLA; services may be interrupted for maintenance or carrier issues. Vendogram is not liable for carrier outages, spam filtering, or data loss. Vendogram is not liable for loss of data, equipment malfunction, or downtime beyond best-effort support.​
​
6) Mentorship
-
Included minutes must be pre-booked in 30-minute blocks. Late-canceled/missed sessions count as used.
-
Paid mentorship available on request at posted rates.
​
7) Equity Track (application-only)
-
Eligibility: active Vendogram member.
-
If accepted, participation is governed by separate written agreements (e.g., SAFE/advisor). Those agreements are binding and not cancellable via the 30-day membership rule.
-
Investor sessions follow the same booking rules; missed sessions may require mentor approval to rebook.
8) Safety, Security & Access
-
Follow posted safety instructions, occupancy limits, fire exits, and emergency procedures.
-
Do not block corridors/doors; no hazardous materials.
-
No smoking/vaping; no illegal drugs; alcohol by written approval only.
-
After-hours access (if granted) is for the member only.
-
Do not photograph/video other members without consent. Event photography requires prior written approval.
-
Security cameras operate in all common areas and shared spaces. No cameras in private offices or washrooms. Audio recording is not used. By entering you consent to video monitoring in those areas.

9) Data, Privacy & IP
-
You control your own data and credentials. Back up your work.
-
Vendogram is not responsible for data loss or corruption on shared machines.
-
Do not store confidential third-party data on shared devices unless encrypted and authorized.
-
Respect others’ IP and privacy. Your use of the site/services also follows our Privacy Policy.

10) Damage, Loss & Cleaning
-
You’re responsible for damage you or your guests cause to premises or equipment.
-
Excessive cleaning, repairs, or replacement may be billed to your card on file.
-
Report spills, breakage, or safety issues immediately.
​
11) Business Address, Virtual Address & Mail Handling
-
Use of Vendogram’s address as your business/virtual address, mailing address, or Google Maps/online listing is available only to active members on eligible plans and requires a minimum commitment of 12 consecutive months from the start of eligibility.
-
If membership ends before 12 months, the right to use the address terminates immediately and an early termination fee equal to the remaining months of the 12-month commitment may be billed.
-
The address may be used only while your membership is active and in good standing. Upon cancellation or non-payment, you must remove the address from Google, websites, and filings within 7 calendar days. After that, Vendogram may notify platforms and authorities that your authorization has ended.
-
Mail will be received/held for active members only. After membership ends, incoming mail may be returned to sender or destroyed.
-
Large parcels, frequent shipments, or courier deliveries require prior approval. Vendogram is not responsible for lost, delayed, or misdelivered items.
-
Using our address for incorporation, CRA/Revenu Québec, permits, banking, or regulatory filings requires prior written consent. Vendogram may withdraw consent if your account is not in good standing.
-
Use of our address does not include any signage rights. See #25 for signage rules.

12) Prohibited Uses
-
Subletting space, harassing conduct, excessive noise, illegal activity, crypto mining, high-risk lab work, or anything that disrupts others.
-
We may suspend or terminate access for violations or non-payment.
​
13) Liability, Indemnity & Disclaimers
-
Assumption of risk: You understand that workspace use involves ordinary risks (trips, spills, electrical/computer faults) and you use the space at your own risk.
-
Indemnity: You agree to indemnify and hold harmless Vendogram, its officers and staff from claims, damages, and costs arising from your (or your guests’) use of the premises, breaches of these Terms, or violations of law.
-
Limitation of liability: To the maximum extent permitted by law, Vendogram’s total liability for any claim is limited to the fees you paid in the 3 months before the event giving rise to the claim. Vendogram is not liable for indirect/special/consequential damages, loss of profits, or data loss.
-
No warranties: Services and equipment are provided “as is” and “as available.”
​
14) Force Majeure
-
We aren’t liable for delays or failures caused by events beyond our reasonable control (e.g., power outages, building issues, strikes, public emergencies, internet failures).
-
Maintenance windows may be scheduled outside business hours.
​
15) No Tenancy or Lease
-
Your membership grants a revocable license to use shared facilities and bookable offices. It is not a lease or tenancy and creates no real property interest. Vendogram retains possession and control of all premises at all times.
16) Payments, Late Fees, Chargebacks, Collections
-
All fees are due in advance. We apply payments to oldest outstanding balances first. Overdue amounts accrue a late fee equal to the lesser of 2% per month or the maximum permitted by law until paid.

Chargebacks are prohibited; disputing a charge without first notifying us in writing is a breach. You remain liable for all unpaid amounts after cancellation; we may use collections remedies permitted by law.

Overages for phone minutes are billed monthly in arrears to the card on file.

17) Service Retainer & Returned Payment
-
We may require a refundable service retainer (up to one month of your plan for Private Office plans; $150 for the Executive Package Add-On) held against unpaid fees or damage, refundable within 10 business days of account closure, less amounts owed. Returned/declined payments may incur an NSF/processing fee as permitted by law.

18) Access Devices and Lockouts

Replacement fees: Access card $25, physical key $50, lock rekey $150. Lockout assistance during staffed hours is $25; after-hours $75.
19) Restoration, Damage & Excess Cleaning
-
You’re responsible for restoring your area to original condition (reasonable wear excepted).
-
Excess cleaning $75/hr, wall repair/repaint $150 per wall, damaged furniture/equipment at replacement cost. These may be charged to your card or retainer.
20) Occupancy & Headcount
-
Shared space plans allow 1 person (plan owner) per membership.
-
Private Office usage is limited to 3 concurrent people.
-
Additional concurrent users require prior approval and may be billed $100 per extra person/month (or the then-current over-occupancy fee).
-
We may refuse entry above safe capacity.
-
Unauthorized over-occupancy may incur an over-capacity fee of $100 per person/day.

21) Business Hours, After-Hours & Check-In
-
Business hours (facility support): Mon–Fri 09:00–17:00.
-
Shared Space (Limited/Unlimited): access during Mon–Fri 09:00–17:00.
-
Private Space (Limited): access during Mon–Fri 09:00–17:00 and Sat 10:00–16:00.
-
Private Space (Unlimited): access during Mon–Fri 09:00–17:00 and weekends 10:00–16:00.
-
After-hours: Access outside the hours above is by approval only, for the named member. After-hours compute or space usage may incur a +25% premium and is best-effort (no on-site staff).
-
Check-in: Members (and guests) must check in via reception or the member portal/QR at the start of each booking. Unattended entry or tailgating is prohibited.
-
Changes: Schedules and access rules may be adjusted at Vendogram’s discretion for safety, maintenance, or events.

22) Prohibited Activities
-
Safety & risk: No manufacturing, storage of inventory, hazardous materials, or activities that increase building or fire risk.
-
Abuse & illegality: No harassment, illegal content/activity, or disruptive conduct.
-
Compute misuse: No crypto mining, password-cracking, botnets, traffic flooding, or high-load/industrial tasks unrelated to program work—on any device, including GPU servers.
-
Unauthorized networking: No rogue APs/routers/switches/VPN concentrators or exposed public services without written approval (see Section 23).
-
Enforcement: Items stored in violation may be removed at your cost; repeat violations may result in suspension or termination.
23) Network, Internet & Device Use
-
Acceptable use: Internet is for legitimate program/business work. No illegal downloads, copyright infringement, harassment, or abusive content.
-
Security & privacy: Do not intercept traffic, bypass security, scan ports, run packet capture, or access others’ accounts/devices. Encrypt sensitive data and sign out of shared machines.
-
Bandwidth fairness: Heavy, continuous transfers (e.g., large model/dataset syncs) may be throttled or rescheduled. Coordinate big uploads with staff.
-
Servers & exposure: Hosting public-facing services (web/API), operating unmanaged network gear, or advertising public endpoints requires prior written approval.
-
VPN for Compute: Remote compute access (when granted) uses a managed VPN (e.g., WireGuard/Tailscale). Access is key-based, may be limited to one device per key, and may be revoked for abuse or security concerns.

Patching & health: Keep your devices patched and protected. Devices suspected of malware/policy violations may be disconnected until remediated.
-
Power & cabling: Use certified adapters; do not modify building wiring or cabling.
-
Availability: Network services are best-effort and may be interrupted for maintenance, building issues, or events outside our control (see Force Majeure). We are not liable for outages or data loss.

24) Compute Resources (GPU/Servers)​
-
Scope: Applies to all on-prem compute (workstations/servers with GPUs), whether accessed from shared or private workspaces or via approved remote VPN.
-
Access model: Compute is provided via managed sessions/containers; no physical access to server hardware. No concurrent users on a single GPU; sessions are time-sliced by schedule.
-
Plans & caps: Unless stated otherwise, compute access is sold in monthly hour packs (e.g., 30 hours/month) with a daily cap of 3 hours/member to ensure fair access. Unused hours do not roll over. Exceptions may be approved when capacity allows.
-
Scheduling & check-in: Book in advance (Section 2 rules apply). 1-hour minimum, then billed in 15-minute increments. Check-in via portal/QR is required at session start; no-shows or >10-minute late may be released and count as used.
-
After-hours compute: When approved, after-hours compute may carry a +25% premium and is best-effort with limited support (see Section 21).
-
Metering & overage: Usage beyond included monthly hours is billed at posted hourly rates, calculated from actual compute minutes (rounded up to the next 15 minutes). Vendogram may log system metrics (e.g., NVML/nvidia-smi) for operations and abuse prevention.

Isolation & security: Do not attempt to access other members’ containers, data, or credentials. Accounts/keys are individual and may not be shared.
-
Acceptable use: Training/program work only. Strictly no crypto mining, password-cracking, unlawful content, or public stress tools.
-
Data & storage: You are responsible for your data and backups. Temporary storage may be purged without notice. Vendogram is not responsible for data loss/corruption.
-
Performance & availability: Best-effort only; jobs may be throttled, paused, or rescheduled for safety/cooling/maintenance or to protect facility operations. We are not liable for time lost due to crashes, thermal throttling, or outages.
-
Breach: Violations may result in immediate revocation of access, additional fees for damages, or termination of membership.

25) Phone Number & Virtual Receptionist (Bilingual AI)
Vendogram may provide a local phone number with a Bilingual AI Receptionist (English/French), voicemail, and email delivery of messages to the Phone Number & Virtual Receptionist plan customers. Requires an active Shared or Private membership plan.

Not an emergency service: do not use for 911 or time-critical life/safety calls.
-
Consent & recording: By enabling the service you authorize us to notify callers that calls may be handled/recorded by automated systems and to store transcripts for delivery.
-
Identity & representation: You authorize Vendogram to answer in your company name and collect caller info; no legal commitments will be made on your behalf.
-
Acceptable use: No telemarketing, robocalls, illegal content, or abusive use. We may suspend for spam/fraud.
-
Minutes & overages: Plan includes 300 minutes/month; overage $0.08/minute, rounded up to the next full minute. Minutes don’t roll over.
-
Number & portability: Numbers are provisioned to your account; portability on cancellation is by provider rules and subject to settlement of all fees.
-
SLA & delivery: Best-effort message delivery by email; not liable for carrier outages, spam filters, or force majeure.
-
Privacy: Transcripts contain personal data; you agree to handle them per applicable privacy law (Québec Law 25/PIPEDA).

​26) Signage & Branding (applicable only to the private space plan with the executive add-on)
-
Temporary office door signage: During your booked private-office time you may display a removable door sign in the provided holder. Signs must be letter/A4 size, paper or thin board only, and removed at the end of your booking. No adhesives, tape, pins, decals, vinyl, or paint.

Temporary door sign printing: $15 per printed sign; lost/damaged holder $25.
-
Permanent or exterior signage: Any interior permanent signage or exterior/building signage is prohibited unless approved in writing by Vendogram and, where required, the landlord/municipality. Member is responsible for permit fees, fabrication, installation, and restoration.
-
Branding limits: No third-party ads, political content, explicit imagery, or anything that violates law or building rules. Signage must not cover safety devices, cameras, windows, exit signs, or impede egress.
-
Holders & placement: Only use the sign holders provided by Vendogram. Do not place materials in common areas, hallways, washrooms, kitchen, or on glass walls without written approval.
-
Damage & cleanup: You are responsible for any damage, residue, or excessive cleaning caused by signage. Excess cleaning $75/hr; wall repair/repaint $150 per wall; replacement at cost.
-
No implied tenancy: Approval of any signage does not create a leasehold or tenancy.
-
Enforcement: Unauthorized signage may be removed without notice. Repeated violations can result in suspension of booking privileges or termination of membership.​

27) Room Rentals (Classrooms & Event Rooms)
-
Scope: This section applies when a member or outside organizer books a whole room (Explorers, Lab, Innovators, or a private office used as a room) for classes, workshops, meetings, or events.
-
Booking window: Rooms may be booked up to 30 days in advance. The latest you can book is 2 days before the start time. Availability is first come, first served and may be adjusted for safety or maintenance.
-
Self-serve changes: You may cancel or reschedule online up to 72 hours before the start time at no charge. Changes inside 72 hours are at Vendogram’s discretion and may incur fees.
-
Late cancellation and no-show fees: If you cancel less than 72 hours before the start or do not show, a fee of 15% of the session price is charged to the card on file. These fees are non-refundable and not creditable.
-
Payment and card on file: A valid card on file is required for online bookings and incidentals including fees, overages, damages, and cleaning. Vendogram may collect amounts owed to the card on file after the event.

Set-up, tear-down, and overages: Your booking window includes all set-up and tear-down. Do not enter early or overstay. If you run over, additional time is billed in 15-minute increments at the then-current hourly rate. Calendar turnover buffers are not usable time.

Capacity and supervision: Stay within the posted room capacity. Minors must be supervised at all times. Recommended ratio is 1 adult per 10 minors. No unsupervised minors anywhere on the premises.

After-hours: Use outside staffed hours is by approval only and carries a +25% premium. After-hours operation is best effort with limited on-site support.

Insurance for recurring series: Recurring room rentals of 12 or more dates require $2,000,000 Commercial General Liability coverage naming Vendogram AI Academy Inc. as Additional Insured. Proof is due 5 business days before the first session.
-
Rooms, furniture, and AV: Included items are listed on each room page. Explorers and Innovators include a 57" display with HDMI or USB-C and a whiteboard. The Lab includes shared tables and a whiteboard. Bring any adapters you need. Do not move fixed furniture. Return mobile furniture to the default layout posted in the room.

Food, waste, and cleaning: Light snacks and drinks are allowed unless posted otherwise. Use the bins provided. Leave the room broom-clean with tables wiped. Excess cleaning is billed at $75 per hour. Damage beyond normal wear is billed at replacement cost.

Signage and common areas: Temporary door signs are allowed only during your booked time using holders provided. No tape, decals, or stickers on walls, glass, or exterior doors. Do not block corridors, exits, cameras, or shared amenities. Keep doors closed and noise reasonable.

Prohibited uses: No hazardous materials, illegal activity, or amplified music without approval. No crypto mining, password-cracking, port scanning, or public network services on Vendogram equipment or networks.

Check-in and conduct: Check in at reception or via the member portal or QR at arrival. Unattended entry and tailgating are not allowed. You are responsible for the conduct and safety of your participants and guests.

Cancellations by Vendogram: Vendogram may relocate, reschedule, or cancel for safety, maintenance, or events outside our control. If we cancel, the booking fee is refunded. Incidental costs are not covered. See Force Majeure.

Acceptance: By booking a room you agree to this section and to the Master Terms, including fees, deposits, damages, and data and privacy obligations.

28) Survival
-
Obligations relating to fees, deposits, damages, indemnity, IP/privacy, and dispute resolution survive termination of membership.

Your license to use Vendogram’s address or location listings ends immediately upon membership termination.
-
You must remove the address from Google Business Profile, websites, and official filings within 7 days.
-
Vendogram may charge an administrative removal fee of $75 if we must intervene with platforms or agencies, and you remain liable for any fees or damages arising from continued unauthorized use.

29) Changes to Services or Terms
We may update services, schedules, or these Terms. We’ll post changes on the website; continued use after notice means you accept the updated Terms.
​
30) Governing Law & Venue
These Terms are governed by the laws of Québec, and disputes will be brought in the courts of Longueuil, Québec.

By subscribing, booking, or entering the premises, you acknowledge and agree to these Master Terms & Policies.
